These Terms of Service (the "Terms") govern your use of Paxalia, including our website, desktop and mobile applications, and related services (collectively, the "Services"). The Services are provided by Paxalia ("we", "us", or "the Company").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services. These Terms form a binding legal agreement between you and us.

Acceptance of Terms

You accept these Terms by:

  • Creating an account on Paxalia.
  • Clicking an "I agree" checkbox where provided.
  • Using the Services in any way.

You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Services. By accepting these Terms, you confirm that you meet this age requirement and are legally able to enter into this agreement.

Changes to the Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes:

  • By posting the updated Terms on this page with a new "Last updated" date.
  • By sending an email to the address associated with your account.
  • By displaying an in-app notification.

Continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree, you should stop using the Services.

Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please follow these best practices:

  • Use a strong, unique password for your Paxalia account.
  • Enable two-factor authentication (2FA) for added security.
  • Do not share your password with anyone.
  • Log out of your account when using shared or public devices.
  • Notify us immediately of any unauthorised access or suspected security breach.

You are responsible for providing accurate and up-to-date contact information. We may contact you using the information you provide.

User Content & Conduct

"User Content" means any text, images, files, comments, or other material you create, upload, or share through the Services. You retain all ownership rights to your User Content.

Ownership and license

You retain full ownership of your User Content. By posting User Content, you grant Paxalia a non‑exclusive, royalty‑free, worldwide license to host, store, display, and distribute your content as necessary to operate the Services. This license ends when you delete your content or account, except for content that has been shared publicly.

Public content

If you make content public (notes or pages), you grant Paxalia the right to display it publicly via shareable links and in the Community Feed. Public content may be viewed by anyone with the link, including non‑users. You can change the visibility of your content at any time.

Content standards

You agree not to post User Content that:

  • Violates any applicable law or regulation.
  • Infringes the intellectual property rights of others.
  • Contains malware, viruses, or other harmful code.
  • Is defamatory, harassing, abusive, or hateful.
  • Contains personal information of others without their consent.
  • Is designed to exploit or harm children.

We reserve the right to remove any content that violates these standards or that we believe is harmful to our users or the Services.

Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Illegal activities: Using the Services for any unlawful purpose or in violation of any applicable law.
  • Abuse and harassment: Harassing, threatening, or abusing other users or our staff.
  • Security breaches: Attempting to gain unauthorised access to the Services, other users' accounts, or our systems.
  • Malware and hacking: Uploading or distributing malware, viruses, or using the Services to conduct hacking attacks.
  • Exploiting public content: Using public pages or the Community Feed to host malicious content, distribute spam, or attempt to exploit the HTML rendering engine.
  • Scraping: Scraping or mining data from the Services without our prior written consent.
  • Impersonation: Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable right to use the Services for your personal or internal business purposes. This license includes the right to:

  • Install and run Paxalia on your devices.
  • Use the features and functionality of the Services.
  • Create and manage workspaces, notes, goals, timings, summaries, events, alarms, pages, and chat messages.
  • Share public content via links.

This license does not permit you to:

  • Redistribute, resell, or sublicense the Services.
  • Reverse engineer, decompile, or disassemble the Services.
  • Use the Services to build a competing product.
  • Remove or modify any proprietary notices on the Services.

Payments, Subscriptions & Refunds

Pro plan

Paxalia offers a Pro plan that unlocks additional features, including unlimited workspaces, higher limits, ad‑free experience, priority sync and support, custom themes, and a full colour picker.

The Pro plan is available as a recurring subscription. Pricing and features are listed on our Pricing page.

Billing

  • Auto‑renewal: Subscriptions automatically renew at the end of each billing period until you cancel. You can manage your subscription in your account settings.
  • Payment processors: We use trusted third‑party payment processors to handle billing. Your payment information is not stored on our servers.
  • Currency: All prices are in USD unless otherwise noted.

Refunds

We offer a 14‑day refund policy for Pro subscriptions. If you are not satisfied with the Pro plan, contact us at [email protected] within 14 days of purchase for a full refund.

Refunds are not available for subscriptions that have been active for more than 14 days, except where required by law.

Cancellation

You can cancel your Pro subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. You will continue to have access to Pro features until the end of the paid period.

When you cancel, you will revert to the Free plan. Your data will not be deleted.

Termination & Suspension

We may suspend or terminate your account if:

  • You violate these Terms or any applicable law.
  • You engage in prohibited conduct.
  • We reasonably believe your account poses a security risk.
  • You fail to pay subscription fees.

You may cancel your account at any time from your account settings. Upon cancellation, your data will be deleted in accordance with our Privacy Policy.

If your account is terminated for a violation, you will not be eligible for a refund for any prepaid fees, except where required by law.

Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties, including:

  • Merchantability and fitness for a particular purpose.
  • Non‑infringement of intellectual property.
  • Uninterrupted or error‑free operation of the Services.
  • Security, reliability, or timeliness of the Services.

We do not warrant that the Services will meet your specific requirements or that any defects will be corrected. You use the Services at your own risk.

Limitation of Liability

To the maximum extent permitted by law, Paxalia and its affiliates, directors, employees, and agents shall not be liable for:

  • Direct damages: Liability is limited to the amount you actually paid to us in the 12 months preceding the claim, or $100 if you have not paid anything.
  • Indirect damages: We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
  • Force majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, strikes, or internet outages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Paxalia and its affiliates, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms.
  • Your User Content.
  • Your violation of any applicable law or third‑party rights.
  • Your use of the Services in a manner not authorised by these Terms.

Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Paxalia is incorporated, without regard to conflict‑of‑law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, except that either party may seek injunctive or equitable relief in court. The arbitration shall be conducted by a single arbitrator in accordance with the rules of a recognised arbitration body.

For users in the European Union, you may have the right to bring proceedings in your country of residence. Nothing in this section limits your rights under applicable consumer protection laws.

Privacy & Data

Our Privacy Policy explains how we collect, use, and share personal data. By using the Services, you agree to the practices described in the Privacy Policy.

Feedback & Feature Requests

We appreciate your contributions but cannot guarantee that any specific feature request will be implemented.

Miscellaneous

  • Entire agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Paxalia.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: We may assign these Terms or any rights under them without notice to you. You may not assign these Terms without our prior written consent.
  • Survival: Provisions that by their nature should survive termination (including liability, indemnification, and governing law) survive any termination of these Terms.
